Terms of Service

1. Agreement to Terms

By accessing the website of Mavy EduSolutions (“Company”, “we”, “us”) or commissioning localization, AI training data, model evaluation, or education adaptation services, you agree to be bound by these Terms of Service. If you are entering into this agreement on behalf of a company or legal entity, you represent that you possess the authority to bind such entity.

2. Scope of Professional Services

Mavy EduSolutions provides specialized services under separate Statements of Work (SOW) or project proposals:

• Software & Document Localization: Translation, linguistic testing, pseudo-localization, DTP formatting, and terminology standardization.
• AI Data Collection & Annotation: Multilingual audio, text, video, and multimodal data collection, bounding box tagging, transcription, and instruction tuning pairs.
• RLHF & Model Safety Evaluation: Human rater preference ranking, adversarial red-teaming, and multilingual safety benchmarking.
• Education Solutions: SCORM/xAPI/cmi5 course adaptation, LMS migration, and pedagogical alignment.

3. Intellectual Property Rights & Deliverable Ownership

The Company retains ownership of its pre-existing proprietary tools, quality auditing software, automated linting scripts, and general localization engineering workflows utilized to generate the deliverables.

4. Quality Assurance & Revision Protocol

Every localization deliverable undergoes our multi-stage quality assurance process (independent linguist proofreading + automated LQA checks for length, placeholders, and syntax). In the event that a deliverable exhibits demonstrable deviation from agreed glossary terms or grammar specifications, the Client may request revisions within fourteen (14) business days of delivery at no additional charge.

5. Confidentiality & Security

Both parties agree to protect all confidential proprietary information with the same degree of care they accord their own confidential data, but in no event less than reasonable care. Mavy EduSolutions shall not disclose client source code, unreleased product copy, or sensitive data assets to any third party without express written consent.

6. Limitation of Liability

Except in cases of gross negligence, intentional misconduct, or breach of confidentiality obligations, neither party shall be liable for indirect, incidental, consequential, or punitive damages. Total aggregate liability arising out of any specific engagement shall not exceed the fees paid by the client under the applicable Statement of Work in the twelve (12) months preceding the claim.

7. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the substantive laws of India, without regard to conflicts of law provisions. Any dispute arising hereunder shall be subject to the exclusive jurisdiction of the competent courts in New Delhi, India, unless otherwise stipulated in a signed enterprise Master Services Agreement.
